1. Acceptance of Terms

By accessing or using SoldTools ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

SoldTools provides a car sales and customer relationship management platform that includes lead management, deal tracking, inventory management, appointment scheduling, SMS/email communications, social media integrations, and related tools for automotive dealerships and sales professionals.

3. User Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Send unsolicited messages (spam) through our SMS or email features.
  • Violate TCPA, CAN-SPAM, or other applicable communications laws.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit malicious code or content.

5. SMS and Communications

When using our SMS and communication features, you agree to comply with all applicable laws including the Telephone Consumer Protection Act (TCPA). You are solely responsible for obtaining proper consent from recipients before sending messages. SoldTools provides tools to help with compliance but does not guarantee compliance on your behalf.

6. Third-Party Integrations

The Service integrates with third-party platforms including Meta (Facebook/Instagram), TikTok, Google, and Twilio. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SoldTools and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of any data you upload to the Service.

8. Limitation of Liability

To the maximum extent permitted by law, SoldTools shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

We may terminate or suspend your account at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated terms on this page. Your continued use of the Service after changes constitutes acceptance of the new terms.
